serial? as in modem? that's going to be wayyyyyy slow. But, it's possible with two network cards and a crossover cable.
To do file-sharing between the two, you'll need Samba (http://www.samba.org). Internet connection sharing can be done in a few ways, one of which is described in this NHF (http://www.linuxnewbie.org/cgi-bin/ubbcgi/ultimatebb.cgi?ubb=search). As subnet_rx said, the way to go is Ethernet. Install a NIC in each computer, and use a "crossover"-wired cable to connect the two. Linux-compatible Ethernet cards run about $20 US (except for 3COM cards, which are considerably more expensive). Either computer can be configured as the gateway the Internet. The other alternative is to purchase a dedicated gateway/router (Linksys, Netgear, etc.).

This one (http://www.linuxnewbie.org/nhf/intel/network/eznetshare.html) though you probably could have found it in the Networking NHF's.
