how do I get my modem working in kernel 2.4 when I installed the new kernel from rpms?

Don't install from RPMs, kernel RPMs suck. Get the source from kernel.org , configure and compile it yourself.

You should probably get your modem working the same way you got it working for 2.2 -- since you didn't specify anything about it, I can't really help you.
